PLASPY Membre Account
- You will not post content or take any action on Plaspy that infringes or violates someone else's rights or otherwise violates the law.
- Security. We have a team dedicated to keeping your information secure and testing for vulnerabilities. We also continue to work on features to keep your information safe in addition to things like two-factor authentication, encryption of files at rest, and alerts when new devices and apps are linked to your account.
- You may withdraw consent to Plaspy and its partners’ and licensors’ collection, use, transmission, processing and maintenance of location and Account data at any time by not using the location-based features on your device
- Any location data provided by the Service is not intended to be relied upon in situations where precise location information is needed or where erroneous, inaccurate, time-delayed or incomplete location data may lead to death, personal injury, property or environmental damage. Plaspy shall use reasonable skill and due care in providing the Service, but neither Plaspy nor any of its service and/or content providers guarantees the availability, accuracy, completeness, reliability, or timeliness of location data or any other data displayed by the Service.
- You are fully responsible for the security of data on your site, through your app, or otherwise in your possession. You agree to comply with all applicable state and federal laws and rules in connection with your collection, security and dissemination of any personal, financial, Card, or transaction information (defined as “Payment Data”) on your site or through your app
- Abuse of the machines - either intentional or due to improper coding
- Committing or Promoting any type of illegal activity including fraud, mailbombing, denial of service attacks, storing and/or housing and/or linking to illegal content, including but not limited to, "warez", "hacking"/"cracking"/"key generators".
- The Services to traffic in illegal drugs, gambling and/or obscene materials.
- You will not provide any false personal information on Plaspy, or create an account for anyone other than yourself without permission.
To register for the Service, You must complete the registration process by providing Plaspy with current, complete and accurate information as prompted by the registration form, including Your e-mail address (username) and password. You will protect Your passwords and take full responsibility for Your own, and third party, use of Your accounts. You are solely responsible for any and all activities that occur under Your Account. You will notify Plaspy immediately upon learning of any unauthorized use of Your Account or any other breach of security. Plaspy's (or its wholly-owned subsidiaries') support staff may, from time to time, log in to the Service under Your customer password in order to maintain or improve service, including to provide You assistance with technical or billing issues.
The Service is only available to individuals aged 13 years or older (or equivalent minimum age in the relevant jurisdiction), unless you are under 13 years old and your Plaspy ID was provided to you as a result of a request by an approved educational institution or established as part of the Family Sharing feature by your parent or guardian. We do not knowingly collect, use or disclose personal information from children under 13, or equivalent minimum age in the relevant jurisdiction, without verifiable parental consent. Parents and guardians should also remind any minors that conversing with strangers on the Internet can be dangerous and take appropriate precautions to protect children, including monitoring their use of the Service.
To use the Service, you cannot be a person barred from receiving the Service under the laws of the United States or other applicable jurisdictions, including the country in which you reside or from where you use the Service. By accepting this Agreement, you represent that you understand and agree to the foregoing.
Access to certain areas of this website is restricted. www.plaspy.com reserves the right to restrict access to certain areas of this website, or at our discretion, this entire website. www.plaspy.com may change or modify this policy without notice.
If www.plaspy.com provides you with a user ID and password to enable you to access restricted areas of this website or other content or services, you must ensure that the user ID and password are kept confidential. You alone are responsible for your password and user ID security..
www.plaspy.com may disable your user ID and password at www.plaspy.com's sole discretion without notice or explanation.
Support services may be available to Customer upon payment of applicable fees (if any), as specified in Customer’s Order Form. Any support services are subject to this Agreement and Plaspy’s applicable support policies. Plaspy may also provide onboarding, deployment and other services under this Agreement. The scope, pricing, and other terms for these additional services will be set forth in an Order Form, Order Form exhibit or other document referencing this Agreement. Customer may use anything delivered as part of these additional services internally during its Subscription Term to support its authorized use of the Plaspy Service
You agree that we may provide notices to you in the following ways: (1) a banner notice on the Service, or (2) an email sent to an address you provided, or (3) through other means including mobile number, telephone, or mail. You agree to keep your contact information up to date.
If a court with authority over this Agreement finds any part of it not enforceable, you and us agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and us agree to ask the court to remove that unenforceable part and still enforce the rest of this Agreement. To the extent allowed by law, the English version of this Agreement is binding and other translations are for convenience only. This Agreement (including additional terms that may be provided by us when you engage with a feature of the Services) is the only agreement between us regarding the Services and supersedes all prior agreements for the Services.
If we don't act to enforce a breach of this Agreement, that does not mean that LinkedIn has waived its right to enforce this Agreement. You may not assign or transfer this Agreement (or your membership or use of Services) to anyone without our consent. However, you agree that LinkedIn may assign this Agreement to its affiliates or a party that buys it without your consent. There are no third party beneficiaries to this Agreement.
We reserve the right to change the terms of this Agreement and will provide you notice if we do and we agree that changes cannot be retroactive. If you don't agree to these changes, you must stop using the Services.
Rights and Limits
While we may edit and make formatting changes to your content (such as translating it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.
These confidentiality obligations do not apply to (and Confidential Information does not include) information that: (i) is or becomes public knowledge through no fault of the receiving party; (ii) was known by the receiving party prior to receipt of the Confidential Information; (iii) is rightfully obtained by the receiving party from a third party without breach of any confidentiality obligation; or (iv) is independently developed by the receiving party without using the disclosing party’s Confidential Information. A party may also disclose the other party’s Confidential Information to the extent required by law or court order, provided it gives advanced notice (if permitted by law) and cooperates in any effort by the other party to obtain confidential treatment for the information.
Modifications to Terms of Service and Other Policies
Plaspy may modify these terms or any additional terms that apply to the Service to, for example, reflect changes to the law or changes to the Service.
You should look at the terms regularly. Plaspy will post notice of modifications to these terms at www.plaspy.com, or other policies referenced in these terms at the applicable URL for such policies. Changes will not apply retroactively and will become effective no sooner than 14 days after they are posted. If You do not agree to the modified terms for the Service, You should discontinue Your use Plaspy. No amendment to or modification of this Agreement will be binding unless (i) in writing and signed by a duly authorized representative of Plaspy, (ii) You accept updated terms online, or (iii) You continue to use the Service after Plaspy has posted updates to the Agreement or to any policy governing the Service.
Term and Termination
Term. This Agreement is effective until all Subscription Terms for the Plaspy Service(s) have expired or are terminated as expressly permitted herein.
Subscription Term and Renewals. By placing an Order Form for purchase of an Plaspy Service, Customer is agreeing to pay applicable fees for the entire Subscription Term. Customer cannot cancel or terminate a Subscription Term except as expressly permitted by Termination for Cause or a Service-Specific Term. Each Subscription Term will automatically renew for additional successive twelve-month periods unless: (i) otherwise stated on the applicable Order Form; or (ii) either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current Subscription Term. If no subscription start date is specified on the applicable Order Form, the subscription starts when Customer first obtains access to the Plaspy Service. Pricing for any Subscription Term renewal, new Order Form or Order Form change will be at Plaspy’s then-applicable rates.
Suspension of Service. If Customer’s account is overdue, Plaspy reserves the right to suspend Customer’s access to the Plaspy Service(s) (and any related services) without liability to Customer until paid in full, but Plaspy will send Customer a payment reminder before doing so. Plaspy may also suspend any use or access by Customer without liability if: (i) Customer has exceeded its usage limits; or (ii) Plaspy deems suspension necessary as a result of: (a) a breach or suspected breach or Customer Obligations or (b) to prevent harm or liability to other customers or third parties or preserve the security, stability, availability or integrity of the Plaspy Service. For avoidance of doubt, Customer will remain responsible for payment of fees during any suspension period. Unless this Agreement has been terminated, Plaspy will cooperate with Customer to restore access to the Plaspy Service once it verifies that Customer has resolved the condition requiring suspension.
Termination for Cause. Either party may terminate this Agreement, including any related Order Form, if the other party: (i) fails to cure any material breach of this Agreement (including a failure to pay fees) within thirty (30) days after written notice detailing the breach; (ii) ceases operation without a successor; or (iii) seeks protection under any bankruptcy, receivership, trust deed, creditors’ arrangement, composition, or comparable proceeding, or if any such proceeding is instituted against that party (and not dismissed within sixty (60) days thereafter). Plaspy may also terminate this Agreement or any related Order Forms immediately if Customer breaches or Customer Obligations or for repeated violations of this Agreement.
Effect of Termination. Upon any expiration or termination of this Agreement or an Order Form: (i) Customer’s license rights shall terminate and it must immediately cease use of the applicable Plaspy Service(s) (including any related Plaspy Technology), cease distributing any Plaspy Code installed on its Customer Properties, and delete (or, at Plaspy’s request, return) any and all copies of the Plaspy Code, any Plaspy documentation, passwords or access codes, and any other Plaspy Confidential Information in Customer’s possession, custody, or control; and (ii) Customer’s right to access any Customer Data in the applicable Plaspy Service will cease and Plaspy may delete any such data in its possession at any time. If Plaspy terminates this Agreement for cause, any payments for the remaining portion of the Subscription Term will become due and must be paid immediately by Customer. Except where this Agreement specifies an exclusive remedy, all remedies under this Agreement, including termination or suspension, are cumulative and not exclusive of any other rights or remedies that may be available to a party.
Limitations of liability
www.plaspy.com will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with Plaspy:
to the extent that the website is provided free-of-charge, for any direct loss;
for any indirect, special or consequential loss; or
for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.
These limitations of liability apply even if www.plaspy.com has been expressly advised of the potential loss.
Governing Law; Jurisdiction and Venue
This Agreement is governed by the laws of the State of Delaware and the United States without regard to choice or conflict of law roles thereof. The exclusive jurisdiction and venue for actions related to the subject matter of this Agreement shall be the state courts located in Dover, Delaware or the United States District Court, and both parties submit to the personal jurisdiction of these courts. The terms of the United Nations Convention on Contracts for the Sale of Goods do not apply to this Agreement. The Uniform Computer Information Transactions Act (UCITA) shall not apply to this Agreement regardless of when or where adopted.
